{"id":2073,"date":"2022-12-19T17:44:00","date_gmt":"2022-12-19T17:44:00","guid":{"rendered":"http:\/\/btalegal.com\/?p=2073"},"modified":"2023-06-10T02:12:05","modified_gmt":"2023-06-10T02:12:05","slug":"merger-fees-consultation","status":"publish","type":"post","link":"https:\/\/btalegal.com\/es\/merger-fees-consultation\/","title":{"rendered":"Merger fees consultation"},"content":{"rendered":"<p>Seg\u00fan la legislaci\u00f3n costarricense, la Comisi\u00f3n para promover la Competencia (COPROCOM) debe ser notificada de las fusiones y adquisiciones que superen ciertos umbrales, antes de la ejecuci\u00f3n de la transacci\u00f3n. En un reglamento sometido a consulta p\u00fablica hasta el 13 de enero de 2023, la COPROCOM propone tasas actualizadas por el an\u00e1lisis de fusiones y adquisiciones de CR\u20a14.513.268 (aprox. US$7.500.) para la revisi\u00f3n en fase 1 y CR\u20a19.026.535 (aprox. US$15.000) para la revisi\u00f3n en fase 2 del procedimiento. Las tasas propuestas son fijas, no en funci\u00f3n del volumen de ventas o activos involucrados en la transacci\u00f3n. Las fusiones y adquisiciones en el sector de telecomunicaciones no est\u00e1n sujetas a umbrales y siempre deben notificarse a la Superintendencia de Telecomunicaciones (SUTEL), que es la autoridad de competencia para dicho sector.
